DRAFT, NOT YET LEGALLY REVIEWED. This document is a working draft prepared with software assistance. It must be reviewed and approved by an Irish solicitor before PayGap Pro takes payments or processes real payroll data. Highlighted [PLACEHOLDERS] must be completed.

Terms of Service

1. Who we are

PayGap Pro is provided by [COMPANY LEGAL NAME, e.g. Example Software Ltd], a company registered in Ireland with number [CRO COMPANY NUMBER], whose registered office is at [REGISTERED OFFICE ADDRESS, IRELAND] ("we", "us"). VAT number: [IRISH VAT NUMBER (once registered)]. Contact: [CONTACT EMAIL].

2. Business customers only

PayGap Pro is for employers and their advisers acting in the course of business. By buying or using it you confirm you are not acting as a consumer and that you are authorised to accept these Terms for the organisation you represent ("you").

3. The service

PayGap Pro is software that calculates gender pay gap figures from payroll data you upload, and produces a draft report and draft statement text for you to edit. You can see a free preview of headline figures before buying. A purchase gives you a one-time download token that unlocks the full figures and the draft PDF report for one reporting year, for an organisation within the employee limit of the tier bought.

4. Not legal, HR, tax or financial advice

PayGap Pro is a calculation and drafting tool. It does not provide legal, HR, employment, tax, accounting or financial advice, and using it does not create any adviser relationship. The draft statement text is a template; the opinions and measures it sets out must be your own. You are solely responsible for:

  • deciding whether you must report, and which employees, pay and hours to include;
  • the accuracy and completeness of the data you upload;
  • checking every figure and the wording of your report before publishing it or submitting it to any government portal; and
  • meeting your obligations under the Employment Equality Act 1998, the Gender Pay Gap Information Act 2021, regulations made under them, and any other law.

We make reasonable efforts to keep the calculations in line with the regulations and official guidance, but the law and guidance change and some points are open to interpretation (our method is described in each report). Please take professional advice where needed.

5. Prices, payment and download tokens

  • Prices are shown on our website in euro and exclude VAT, which is added where applicable. Payment is taken in advance through our payment provider, Stripe.
  • Each purchase covers one report for one employer for one reporting year, within the tier's employee limit (Standard: up to 149 employees; Plus: 150–249 employees).
  • After payment is confirmed we issue a download token. It can be used for [1] PDF download(s) and expires [90] days after it is issued. Keep it confidential; anyone who holds it can use it.
  • Refunds: [DECIDE REFUND POLICY, e.g. "If you have not yet used your token, you may request a full refund within 14 days of purchase."] Once the token has been used, the fee is non-refundable except where the service was materially defective and we could not fix it within a reasonable time.

6. Your data

You keep all rights in the data you upload. Payroll files are processed in memory to produce your figures and report and are not stored by us. When we process personal data in your payroll files we do so as your processor under our Data Processing Agreement, which forms part of these Terms. Our Privacy Policy explains how we handle other personal data, such as purchaser contact and billing details. You must have a lawful basis for uploading employee data and must give your employees any information required by data protection law.

7. Acceptable use

You must not misuse the service, including by attempting to access it without authorisation, interfering with its operation or security, uploading malicious code, reselling access without our written agreement, or uploading data you have no right to use. We may suspend access where we reasonably believe these Terms are being breached.

8. Intellectual property

We own the software, website and templates. Subject to payment, you may use, edit, publish and keep the reports generated for you for your own organisation's purposes, including publication on your website and submission to the Gender Pay Gap Portal.

9. Availability and changes

We aim to keep PayGap Pro available, especially around reporting deadlines, but we don't guarantee uninterrupted or error-free operation. We may update the service, for example to reflect changes in the law. Allow enough time before your deadline.

10. Warranties

We will provide the service with reasonable care and skill. Apart from that, and to the extent permitted by law, the service is provided "as is" and all other warranties, conditions and terms, whether express or implied by statute (including the Sale of Goods and Supply of Services Act 1980) or otherwise, are excluded.

11. Limitation of liability

  • Our total liability to you arising out of or in connection with the service and these Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total fees you paid us for the service in the 12 months before the event giving rise to the claim.
  • We are not liable for loss of profits, revenue, business, goodwill or reputation, for any indirect or consequential loss, or for any fines, penalties, compliance orders or costs arising from your published report or your compliance with the law.
  • Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

12. Term and termination

These Terms apply while you use the service. Sections 4, 6, 8, 11 and 13 continue after use ends.

13. Governing law and jurisdiction

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction.

14. General

We may update these Terms; the version in force when you buy applies to that purchase. If any provision is found unenforceable, the rest remain in effect. These Terms, the Data Processing Agreement and the Privacy Policy are the entire agreement between us about the service. Notices to us: [CONTACT EMAIL].
